OVERVIEW

This website is operated by 9593543 Canada Incorporated, operating as Arclight Tool + Supply Co. and, where applicable, Arclight Rental (“Arclight,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) apply to your access to and use of our website, product information, inquiry forms, quote requests, rental requests, partner portal, resources, tools, documents, product listings, product support, sourcing support, rental support, and related services offered through or connected to this site, collectively referred to as the “Services.”

Arclight Tool + Supply Co. operates as an inquiry-first product support platform. Our website may display product lines, rental options, product information, suggested pricing, resource materials, and support pathways, but not every product, rental, or service is available for direct online purchase. Many requests require review by an Arclight specialist before pricing, availability, fulfillment, rental terms, shipping, delivery, partner routing, or final transaction terms are confirmed.

By visiting our site, submitting an inquiry, requesting information, requesting a quote, requesting rental availability, accessing portal materials, purchasing products, renting equipment, using our Services, or otherwise engaging with Arclight, you agree to be bound by these Terms and any additional policies, rental agreements, quote terms, partner terms, or written agreements referenced herein or made available by hyperlink.

If you do not agree to these Terms, you may not access the website or use the Services.

Our website may be hosted, supported, or powered by third-party technology platforms, including Shopify Inc., which may provide website, commerce, inquiry, customer account, and related technical tools.


SECTION 1 – ELIGIBILITY AND USE OF SERVICES

By using the Site or Services, you represent that you are at least the age of majority in your province, territory, state, or jurisdiction of residence, or that you are using the Site or Services with the involvement and consent of a parent, guardian, employer, or authorized representative.

You agree not to use our Site, products, rental equipment, documents, portal materials, or Services for any unlawful, unsafe, unauthorized, misleading, abusive, or prohibited purpose.

You must comply with all applicable laws, regulations, safety standards, manufacturer instructions, site conditions, rental agreements, product documentation, and written instructions provided by Arclight, suppliers, manufacturers, rental partners, or channel partners.

Any breach of these Terms may result in refusal of service, cancellation of a request, suspension of account access, termination of Services, or other action we consider appropriate.


SECTION 2 – INQUIRY-FIRST MODEL

Arclight Tool + Supply Co. is not designed as a traditional public checkout-first store.

Our Site allows users to browse product lines, submit inquiries, request product information, request rental availability, request quotes, request sourcing support, or ask to be connected with the appropriate support path.

After receiving an inquiry, Arclight may review:

  • product fit
  • customer need
  • application or use case
  • timing
  • location
  • quantity
  • availability
  • rental requirements
  • delivery or pickup requirements
  • shipping or freight requirements
  • partner availability
  • supplier availability
  • channel partner suitability
  • safety, training, or qualification requirements
  • pricing, tax, duty, tariff, freight, and other cost factors

Based on this review, Arclight may respond directly, issue a quote, arrange rental support, route the inquiry to a qualified channel partner, refer the request to a supplier or distributor, coordinate supplier-direct fulfillment, support a rental partner, or recommend another appropriate path.

Submitting an inquiry does not create a binding purchase, rental, quote, reservation, or obligation unless and until Arclight or an applicable partner confirms the transaction or arrangement in writing.


SECTION 3 – CHANNEL PARTNER ROUTING AND THIRD-PARTY FULFILLMENT

Arclight works with suppliers, manufacturers, distributors, retailers, rental partners, logistics providers, warehouse partners, customs brokers, service providers, and other channel partners.

Where a qualified channel partner is best positioned to support a customer, Arclight may route the inquiry, referral, quote request, rental request, fulfillment request, service request, or support request to that partner.

Depending on the product, service, location, inventory position, customer need, and channel structure, fulfillment may be handled by:

  • Arclight directly
  • a supplier or manufacturer
  • a distributor
  • a retailer
  • a rental partner
  • a local branch partner
  • a warehouse or 3PL provider
  • a logistics or freight provider
  • a service provider
  • another approved channel partner

If a transaction, rental, return, warranty claim, delivery, or service is completed through a channel partner, that partner’s applicable terms, policies, pricing, availability, warranty process, return policy, payment terms, delivery terms, and service conditions may apply.

Arclight will use reasonable efforts to clarify the applicable support path before a transaction or rental is finalized. However, Arclight is not responsible for the acts, omissions, delays, pricing decisions, policies, product availability, warranties, statements, or performance of independent third-party partners except to the extent required by law or expressly agreed in writing by Arclight.


SECTION 4 – GENERAL CONDITIONS

We reserve the right to refuse service, decline an inquiry, cancel a request, decline a rental, decline a quote, suspend account access, or terminate access to the Services at any time, including for reasons related to:

  • safety concerns
  • product suitability
  • creditworthiness
  • account standing
  • suspected fraud
  • misuse of equipment
  • incomplete or inaccurate information
  • compliance concerns
  • availability limitations
  • unreasonable requests
  • territorial restrictions
  • partner restrictions
  • operational limitations
  • breach of these Terms or another agreement

You agree not to reproduce, duplicate, copy, sell, resell, exploit, scrape, download, distribute, reverse engineer, or misuse any portion of the Site, Services, portal materials, product content, documents, forms, pricing materials, images, videos, training materials, or resources without express written permission from Arclight.


SECTION 5 – INFORMATIONAL CONTENT AND NO PROFESSIONAL ADVICE

Information provided on this Site is for general informational and business-support purposes only.

Product information, rental information, resource centre content, technical references, pricing examples, logistics notes, duty or tariff discussion, regulatory discussion, standards discussion, safety notes, product comparisons, and other materials are not professional legal, tax, customs, regulatory, engineering, safety, certification, financial, or insurance advice.

You are responsible for confirming that any product, rental equipment, configuration, quote, service, solution, document, or recommendation is appropriate for your specific application, jobsite, facility, jurisdiction, customer requirement, business need, safety requirement, and legal obligations.

Where appropriate, you should consult qualified professionals, including engineers, safety professionals, legal counsel, tax advisors, customs brokers, regulatory consultants, manufacturers, insurers, or other qualified advisors.


SECTION 6 – PRODUCT INFORMATION, AVAILABILITY, AND ERRORS

We try to provide accurate product descriptions, images, specifications, availability information, rental information, resource materials, and support content. However, errors, omissions, delays, inaccuracies, or outdated information may occur.

Product images may not always reflect the exact product, configuration, accessories, packaging, or availability.

We reserve the right to correct errors, inaccuracies, or omissions at any time without notice, including after an inquiry, quote request, order request, rental request, or transaction has been submitted.

We reserve the right to modify, suspend, discontinue, substitute, restrict, or remove any product, rental offering, service, resource, portal material, or program at any time without liability.


SECTION 7 – PRICING, MSRP, SSRP, QUOTES, AND FINAL COSTS

Any prices displayed on the Site, in product materials, in resource documents, or in partner materials may be shown as MSRP, SSRP, suggested retail pricing, reference pricing, list pricing, estimated rental pricing, starting pricing, or other informational pricing unless expressly stated otherwise.

Displayed or listed prices are not necessarily final transaction prices.

Final pricing may depend on:

  • quantity
  • volume purchase opportunity
  • account status
  • channel partner pricing
  • supplier pricing
  • rental duration
  • availability
  • product configuration
  • accessories
  • freight or shipping
  • delivery or pickup
  • duties, tariffs, brokerage, or customs charges
  • taxes
  • currency exchange
  • special requests
  • handling, warehousing, or logistics requirements
  • installation, erection, dismantling, training, orientation, or service requirements
  • partner or supplier terms

Where pricing is displayed as MSRP, SSRP, or suggested pricing, the final product price may be lower depending on volume, quote review, partner support, or other approved pricing factors. However, final costs may increase when shipping, freight, taxes, duties, tariffs, brokerage, special handling, special requests, rentals, services, or other additional costs apply.

No price is final until confirmed in writing by Arclight or the applicable fulfillment partner.

We reserve the right to change pricing, rental rates, availability, discounts, quote terms, and programs at any time without notice.


SECTION 8 – QUOTES AND ESTIMATES

Quotes, estimates, rental estimates, freight estimates, landed-cost estimates, shipping estimates, and availability estimates are provided for review and are subject to change unless expressly confirmed in writing.

A quote may expire according to the validity period stated on the quote. If no expiry date is stated, the quote may be withdrawn or revised at any time before acceptance.

Quotes may be subject to:

  • product availability
  • supplier confirmation
  • partner confirmation
  • freight confirmation
  • currency changes
  • duty, tariff, tax, or brokerage changes
  • customer credit approval
  • payment confirmation
  • rental availability
  • final configuration review
  • safety or qualification requirements
  • site condition review
  • manufacturer approval where required

Arclight may refuse, cancel, or revise any quote where there is an error, supplier change, availability issue, safety concern, or other reasonable business reason.


SECTION 9 – PRODUCTS, SPECIAL ORDERS, AND SOURCING REQUESTS

Certain products may be available only by quote, special order, sourcing request, partner referral, supplier-direct fulfillment, or approved account arrangement.

Special order, custom order, sourced, configured, imported, non-stock, made-to-order, or customer-specific items may be non-cancellable and non-returnable unless defective, damaged, incorrect, or otherwise required by applicable law or confirmed in writing by Arclight.

If you ask Arclight to source or review a product, we may collect information about your requirements and use it to identify possible suppliers, manufacturers, products, rental paths, or channel partners.

A sourcing request does not guarantee that a product can be found, legally sold, imported, rented, supported, delivered, or supplied at a desired price or timeline.


SECTION 10 – SHIPPING, DELIVERY, PICKUP, AND LOGISTICS

Shipping, delivery, pickup, freight, courier, local delivery, and logistics options vary by product, location, size, weight, timing, availability, partner location, and fulfillment path.

Shipping and delivery costs are not always calculated automatically. In many cases, shipping, freight, or delivery costs will be reviewed manually so Arclight or the applicable partner can determine a practical available option.

Delivery timelines are estimates only and are not guaranteed unless expressly confirmed in writing.

Depending on the request, fulfillment may occur through:

  • Arclight
  • a supplier or manufacturer
  • a distributor
  • a rental partner
  • a warehouse or 3PL provider
  • a courier
  • a freight provider
  • a customs broker
  • another approved logistics or channel partner

For international or cross-border shipments, additional documentation, customs clearance, duties, tariffs, taxes, brokerage, inspections, delays, or import/export restrictions may apply.

Customers are responsible for providing accurate shipping, delivery, pickup, project, and contact information.


SECTION 11 – RENTALS AND ARCLIGHT RENTAL NETWORK

Rental requests may be supported through Arclight Rental, Arclight Rental Network, participating rental partners, or other approved local support paths.

Not every rental product is available in every location.

Rental availability, pricing, delivery, pickup, deposits, insurance requirements, training requirements, user orientation, proof of qualification, certificates of insurance, damage deposits, and rental terms may vary depending on the product, location, partner, customer, and use case.

All rentals are subject to a separate rental agreement, rental confirmation, or rental terms provided at or before booking, pickup, delivery, or deployment.

If there is a conflict between these Terms and an accepted rental agreement, the rental agreement will govern the rental-specific issue.

Rental equipment remains the property of Arclight, a supplier, a rental partner, or another owner, as applicable.


SECTION 12 – ARCLIGHT RENTALS BOOMERANG PROGRAM

Some rental requests may be processed through the Arclight Rentals Boomerang Program, Arclight’s rental booking, billing, tracking, return-control, and asset-management process.

The Boomerang Program may be used to manage rental assets that go out to customers, return from customers, are inspected, and are made ready for future rental use.

Depending on the arrangement, billing may be handled by:

  • Arclight
  • a participating channel partner
  • a rental partner
  • another approved billing or fulfillment party

Even where a channel partner bills the customer directly, rental assets and rental activity may still need to be tracked through Arclight’s rental process or another approved system.

Rental customers are responsible for returning equipment on time, in the required condition, with all parts, accessories, manuals, cases, batteries, chargers, platforms, guardrails, braces, or related components included.

Additional charges may apply for:

  • late returns
  • damage
  • missing parts
  • cleaning
  • misuse
  • loss
  • replacement
  • recovery
  • pickup
  • delivery
  • unsafe return condition
  • unauthorized use
  • extension of rental period

SECTION 13 – ACCESS EQUIPMENT, SCAFFOLDING, SAFETY, AND USE

Products such as scaffolding, access equipment, ladders, material-handling tools, moving systems, rental equipment, and jobsite products may involve safety risks.

Customers are responsible for:

  • selecting appropriate equipment for the task
  • confirming suitability for site conditions
  • following manufacturer instructions
  • using required components
  • complying with applicable safety laws, regulations, standards, and jobsite rules
  • ensuring users are qualified, competent, trained, oriented, or supervised as required
  • using required personal protective equipment
  • maintaining safe work practices
  • inspecting equipment before use
  • not modifying equipment without authorization
  • not exceeding load ratings, working heights, platform limits, or other limits

For more complex access requirements, Arclight may help coordinate delivery, erection, user orientation, inspection support, dismantling, or deployment services through qualified teams or approved partners where available.

Service availability may depend on territory, site conditions, equipment configuration, required working height, safety requirements, insurance requirements, and network capacity.

Arclight does not guarantee that any product or rental equipment is suitable for a specific jobsite, application, regulation, or user unless expressly confirmed in writing by a qualified party.


SECTION 14 – CUSTOMER RESPONSIBILITIES

You agree to provide accurate, current, and complete information when submitting inquiries, quotes, rental requests, account applications, portal requests, orders, delivery instructions, payment information, and support requests.

You are responsible for:

  • confirming product suitability
  • reviewing quotes and confirmations
  • reviewing applicable terms before approval
  • ensuring safe and lawful use
  • confirming measurements, specifications, quantities, and compatibility
  • inspecting products upon receipt
  • reporting damages, defects, shortages, or incorrect items promptly
  • complying with return, rental, warranty, and safety procedures
  • obtaining any required permits, approvals, inspections, training, or insurance
  • ensuring authorized personnel use equipment or access restricted materials

SECTION 15 – RETURNS, REFUNDS, EXCHANGES, AND WARRANTY SUPPORT

Returns, refunds, exchanges, and warranty support are governed by our Refund & Return Policy, applicable product warranty terms, applicable rental agreement, supplier or manufacturer warranty, and/or applicable channel partner policies.

Because Arclight may route or fulfill requests through different support paths, the applicable return or warranty process may depend on whether the product was supplied by:

  • Arclight
  • a supplier
  • a manufacturer
  • a distributor
  • a retailer
  • a rental partner
  • a channel partner
  • a logistics or service provider

Before finalizing a transaction where practical, Arclight will try to clarify whether Arclight’s return policy, a partner’s return policy, a manufacturer warranty, or another process applies.

Certain products may be non-returnable, including special order items, used or installed items, hazardous materials, dangerous goods, lithium battery products, custom products, clearance items, or items restricted by law, safety, or supplier policy.

Nothing in these Terms is intended to limit rights that cannot be excluded under applicable law.

The Ontario Sale of Goods Act includes implied conditions or warranties in certain sale-of-goods situations, including quality and fitness issues depending on the circumstances; any exclusion or limitation should be reviewed by legal counsel before final use.


SECTION 16 – ACCOUNT TERMS, BILLING, AND PAYMENT

We reserve the right to refuse or cancel orders, rentals, quote requests, or account requests.

Corporate accounts, credit accounts, payment terms, purchase orders, rental billing, partner billing, and credit approval are subject to review and acceptance.

Failure to comply with payment terms may result in suspension of account access, refusal of future quotes, cancellation of rentals, collection activity, or termination of Services.

You agree to provide current, complete, and accurate billing, account, tax, payment, delivery, and contact information.

Where applicable, taxes, shipping, freight, duties, tariffs, brokerage, special handling, deposits, rental charges, and service charges may be added to the final invoice or quote.


SECTION 17 – PORTAL ACCESS AND RESTRICTED MATERIALS

Arclight may provide access to a password-protected portal or restricted materials for customers, suppliers, distributors, rental partners, channel partners, employees, contractors, or approved users.

Portal materials may include:

  • product documents
  • price lists
  • MSRP or SSRP references
  • quote sheets
  • rental documents
  • co-branded materials
  • supplier documents
  • technical materials
  • safety materials
  • training materials
  • partner program documents
  • forms and templates
  • internal or confidential materials

Portal access is granted at Arclight’s discretion and may be limited by company, role, territory, product line, program, customer type, partner type, or approval status.

You agree not to share, copy, publish, forward, distribute, or use restricted materials except as authorized by Arclight.

Arclight may suspend or terminate portal access at any time.


SECTION 18 – INTELLECTUAL PROPERTY

All content on the Site and in our Services, including text, graphics, logos, images, videos, documents, forms, training materials, product content, resource centre content, downloads, designs, layouts, trade names, and other materials, is owned by or licensed to Arclight or its suppliers, manufacturers, partners, or licensors.

You may not reproduce, modify, publish, transmit, distribute, sell, display, perform, create derivative works from, or exploit any content without prior written permission, except for authorized use of approved materials made available to you.

Third-party trademarks, brand names, product names, and logos remain the property of their respective owners.


SECTION 19 – USER COMMENTS, FEEDBACK, AND SUBMISSIONS

If you send comments, ideas, feedback, product suggestions, sourcing requests, reviews, photos, documents, or other submissions, you agree that Arclight may use them for business purposes, including responding to your request, improving Services, reviewing products, creating internal notes, developing content, or supporting customer service, unless otherwise restricted by law or written agreement.

You agree not to submit unlawful, abusive, defamatory, misleading, confidential, proprietary, infringing, unsafe, or harmful content.

You are responsible for ensuring you have the right to provide any materials, photos, documents, or information you submit.


SECTION 20 – PERSONAL INFORMATION

Your submission of personal information is governed by our Privacy Policy.

PIPEDA applies to private-sector organizations across Canada that collect, use, or disclose personal information in commercial activity, making the Privacy Policy a core part of this operating model.


SECTION 21 – EMAIL, TEXT, AND ELECTRONIC COMMUNICATIONS

By submitting inquiries, requests, forms, account applications, rental requests, or communications through the Site or Services, you agree that Arclight may contact you to respond to your request, manage transactions, provide quotes, provide rental information, communicate about service matters, or administer the relationship.

Marketing communications will be sent only where permitted by applicable law, including CASL where applicable. CASL generally requires consent, identification information, and an unsubscribe mechanism for commercial electronic messages.

You may unsubscribe from marketing emails using the unsubscribe link or by contacting us.


SECTION 22 – OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to third-party tools, platforms, calculators, links, portals, embedded content, payment providers, rental systems, forms, logistics tools, mapping tools, analytics tools, or other services.

Third-party tools are provided “as is” and “as available” without warranties from Arclight.

Use of third-party tools may be subject to third-party terms, policies, fees, privacy practices, and restrictions.

We are not responsible for third-party tools, services, websites, or content except to the extent required by law or expressly agreed in writing.


SECTION 23 – THIRD-PARTY LINKS

The Site may include links to third-party websites, supplier websites, manufacturer websites, partner websites, logistics providers, payment providers, social media platforms, regulatory references, or other external resources.

We are not responsible for the content, accuracy, safety, availability, policies, transactions, or practices of third-party websites or services.

Use third-party links at your own risk and review their terms and privacy policies.


SECTION 24 – PROHIBITED USES

You may not use the Site, Services, products, rentals, portal materials, or content:

  • for unlawful purposes
  • to violate laws, regulations, or safety standards
  • to mislead Arclight, partners, or customers
  • to submit false or inaccurate information
  • to interfere with Site security or functionality
  • to scrape, crawl, mine, copy, or misuse Site content
  • to infringe intellectual property rights
  • to harass, abuse, defame, threaten, or discriminate
  • to transmit malware, viruses, or harmful code
  • to attempt unauthorized access to accounts, systems, or portal materials
  • to misuse rental equipment or product information
  • to use products or equipment in unsafe or unauthorized ways
  • to resell restricted materials or products where prohibited
  • to bypass quote, partner-routing, rental, or account controls

We may terminate access or refuse service for prohibited use.


SECTION 25 – DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Site, Services, products, rental equipment, content, resources, quotes, estimates, portal materials, and third-party services are provided “as is” and “as available.”

Arclight does not guarantee that:

  • the Site will be uninterrupted or error-free
  • information will always be current or complete
  • products will be available
  • pricing will remain unchanged
  • rental equipment will be available in every location
  • a product will meet your specific needs
  • a supplier or partner will accept or fulfill a request
  • delivery timelines will be met
  • third-party services will perform as expected

Nothing in these Terms is intended to exclude or limit warranties, conditions, guarantees, rights, or remedies that cannot be excluded under applicable law.


SECTION 26 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, Arclight, its directors, officers, employees, contractors, agents, suppliers, service providers, and partners shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, delay costs, downtime, loss of opportunity, or business interruption arising from or related to the Site, Services, products, rentals, quotes, partner referrals, logistics, third-party services, or these Terms.

To the fullest extent permitted by law, Arclight’s total liability for any claim related to the Site, Services, products, rentals, or these Terms shall be limited to the amount paid by you to Arclight for the specific product, rental, or service giving rise to the claim, unless a different amount is required by applicable law or agreed in writing.

This limitation does not apply where liability cannot be limited by law.


SECTION 27 – INDEMNIFICATION

You agree to indemnify and hold harmless Arclight, its directors, officers, employees, contractors, agents, suppliers, service providers, and partners from any claims, losses, damages, liabilities, costs, or expenses, including reasonable legal fees, arising out of or related to:

  • your breach of these Terms
  • your misuse of products, rentals, documents, or Services
  • unsafe use of equipment
  • failure to follow manufacturer instructions
  • violation of laws, regulations, standards, or site rules
  • inaccurate information you provide
  • unauthorized use of portal materials
  • infringement of third-party rights
  • actions by your employees, contractors, agents, customers, or users

SECTION 28 – SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed from these Terms, and the remaining provisions will remain in full force and effect.


SECTION 29 – TERMINATION

These Terms remain effective unless terminated by either you or Arclight.

We may suspend or terminate access to the Site, Services, portal, rentals, quotes, account privileges, or programs immediately if we believe you have breached these Terms, created a safety risk, failed to pay, provided false information, misused equipment, misused portal materials, or otherwise acted in a way that may harm Arclight, customers, partners, suppliers, or third parties.

Termination does not affect obligations that arose before termination, including payment obligations, return obligations, confidentiality obligations, indemnity obligations, and liability limitations.


SECTION 30 – ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund & Return Policy, Rental Agreement, quote terms, portal terms, partner agreements, invoice terms, and any other written agreements applicable to a specific transaction or relationship, constitute the agreement between you and Arclight regarding the Site and Services.

If there is a conflict between these Terms and a specific signed agreement, rental agreement, quote, invoice, or partner agreement, the more specific written agreement will govern the specific matter to which it applies.


SECTION 31 – GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

You agree that any dispute related to these Terms, the Site, or the Services will be resolved in the courts located in Ontario, Canada, unless otherwise required by applicable law or agreed in writing.


SECTION 32 – CHANGES TO TERMS

We reserve the right to update, modify, replace, or revise these Terms at any time.

Updated Terms will be posted on the Site with a revised “Last updated” date.

Your continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.
